Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Coding Capybaras website and services at codingcapybaras.com (the “Service”), provided by Boggs Holdings LLC d/b/a Coding Capybaras, a California limited liability company (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Definitions

  • “Account” means the registered profile you create on the Service.
  • “Boilerplate” means the software code distributed through the Service, including any updates, modifications, or revisions.
  • “Pro Subscription” means the paid tier of the Service granting access to additional features and ongoing updates.
  • “Content” means any text, data, information, or materials submitted to or generated through the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Your Account

To access certain features, you must create an Account. You are responsible for:

  • Providing accurate registration information
  • Maintaining the security of your Account credentials
  • All activity that occurs under your Account

You agree to notify us immediately of any unauthorized use of your Account. We are not liable for losses caused by unauthorized use of your Account.

4. The Service

The Service provides access to the Coding Capybaras Boilerplate — a software starter kit for building SaaS applications — along with documentation, support resources, and (for Pro subscribers) ongoing updates.

The Service is offered on a Free tier (limited functionality, access to the Boilerplate) and a Pro tier (paid, additional features and ongoing updates).

5. Pro Subscription and Payment

Pro Subscription pricing is displayed on the Service before purchase. We may change pricing for new Pro Subscriptions at any time, but existing subscribers will not be affected by price increases unless and until their subscription renews.

Payment processing is provided by Stripe. You agree to provide accurate payment information and authorize us to charge your designated payment method.

No Refunds. ALL PAYMENTS ARE FINAL. WE DO NOT PROVIDE REFUNDS FOR PRO SUBSCRIPTIONS, PARTIAL SUBSCRIPTION PERIODS, OR UNUSED PORTIONS OF A SUBSCRIPTION. By purchasing a Pro Subscription, you acknowledge and agree to this no-refund policy.

6. License to the Boilerplate

Subject to your compliance with these Terms and any separate license agreement applicable to the Boilerplate code (see the LICENSE file distributed with the Boilerplate), we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Boilerplate for the purpose of building your own software applications.

The specific terms of code use, modification, and redistribution are governed by the LICENSE file included with each Boilerplate distribution. The LICENSE supplements these Terms; in the event of conflict, the LICENSE governs with respect to code use.

7. Restrictions

You agree NOT to:

  • Resell, sublicense, or redistribute the Boilerplate itself as a standalone product, except as expressly permitted by the LICENSE file.
  • Use the Service or the Boilerplate to build, host, or operate:
    • Content that is sexually explicit, pornographic, or otherwise adult in nature
    • Gambling, lottery, or similar wagering services
    • Illegal goods, services, or activities
    • Content that promotes hatred, violence, or discrimination against any protected group
    • Healthcare, financial, or other regulated services without obtaining all required licenses, certifications, and compliance with applicable laws (including but not limited to HIPAA and PCI DSS)
    • Multi-level marketing, pyramid schemes, or similar deceptive financial schemes
  • Reverse engineer, decompile, or attempt to extract source code from any portion of the Service we provide as compiled code (the Boilerplate itself is delivered as source).
  • Access the Service through automated means, scrape it, or use it in any way that interferes with other users.
  • Attempt to gain unauthorized access to any part of the Service, other Accounts, or computer systems connected to the Service.
  • Use the Service to violate any applicable law or regulation.

8. Your Content

You retain ownership of any Content you submit to the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, and process that Content as necessary to provide the Service.

You are solely responsible for your Content and represent that you have all necessary rights to submit it and that doing so does not violate any third-party rights or applicable laws.

9. Intellectual Property

The Service, the Boilerplate, our name, logo, and all related materials are owned by us or our licensors and are protected by intellectual property laws. Except for the licenses expressly granted to you in these Terms or the LICENSE file, all rights are reserved.

“Coding Capybaras” and any associated logos are trademarks of Boggs Holdings LLC. Use of these marks without prior written permission is prohibited.

10. Privacy

Our collection, use, and disclosure of personal information is described in our Privacy Policy at codingcapybaras.com/privacy, which is incorporated by reference into these Terms.

11. Service Modifications

We may modify, suspend, or discontinue the Service or any portion of it at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may release updates to the Boilerplate from time to time. Access to ongoing updates may be limited to Pro Subscribers as a feature of the Pro tier.

12. Termination

We may suspend or terminate your Account and access to the Service at any time, with or without cause and with or without notice, including for any violation of these Terms.

You may terminate your Account at any time through your Account settings or by contacting us. Termination does not entitle you to any refund of fees paid.

Upon termination, your right to use the Service ends immediately. The provisions of these Terms that by their nature should survive termination will survive (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution).

13. Disclaimers

THE SERVICE AND THE BOILERPLATE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DO NOT WARRANT THAT THE BOILERPLATE WILL MEET YOUR REQUIREMENTS, THAT ANY BUSINESS BUILT ON THE BOILERPLATE WILL BE SUCCESSFUL, OR THAT ANY DEFECTS WILL BE CORRECTED.

YOU USE THE SERVICE AND THE BOILERPLATE AT YOUR OWN RISK.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

15. Indemnification

You agree to indemnify, defend, and hold harmless Boggs Holdings LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or the Boilerplate
  • Your violation of these Terms
  • Your violation of any third-party right (including intellectual property or privacy rights)
  • Any business, application, or service you build using the Boilerplate

16. Dispute Resolution

16.1 Informal Resolution. Before initiating any formal dispute, you agree to attempt to resolve the matter informally by contacting us at support@codingcapybaras.com with a written description of the dispute. We will attempt in good faith to resolve the matter within 30 days.

16.2 Small Claims Court. Either party may bring a qualifying claim in small claims court in California, provided the claim is within that court's jurisdictional limits and brought only on an individual (non-class, non-representative) basis. Small claims actions are NOT subject to the arbitration provisions below.

16.3 Binding Arbitration. Except for claims that qualify for small claims court (Section 16.2), any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in California or by remote/video means at the AAA's discretion. The arbitrator's decision will be final and binding.

16.4 Class Action Waiver. YOU AND WE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court or arbitrator determines this waiver is unenforceable in a particular case, the parties agree that the dispute will instead proceed in court (not arbitration).

16.5 Opt-Out. You may opt out of the arbitration agreement in Section 16.3 by sending written notice to support@codingcapybaras.com within 30 days of first accepting these Terms. Your notice must include your name, email, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provision of these Terms.

17. General Provisions

17.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.

17.2 Modifications to These Terms. We may modify these Terms from time to time. Material changes will be communicated by email to the address associated with your Account or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of changes constitutes acceptance.

17.3 Entire Agreement. These Terms, together with the Privacy Policy and the LICENSE applicable to the Boilerplate, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

17.4 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

17.5 No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other provision.

17.6 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms freely.

17.7 Notices. Notices to you may be made by email to the address associated with your Account or by posting on the Service. Notices to us must be sent to support@codingcapybaras.com with a copy by certified mail to:
